These Terms of Service (the “Terms”) are a binding agreement between you and DT (“we”, “us” or “our”) governing your access to and use of NewsShorts Studio, including its web interface, its application programming interfaces, and any related software and services (together, the “Service”). Please read them carefully.
Acceptance of These Terms
By accessing or using the Service, by signing in to it, or by connecting any third-party account to it, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes the organization. If you do not agree, do not use the Service.
The Service
NewsShorts Studio is a software tool that retrieves publicly available news headlines and articles from sources that you select, uses artificial-intelligence models to write a short script that interprets a story, generates pictures and a synthetic narration, assembles them into a short vertical video or a single picture post, and, at your direction, publishes the result to social-media and video platforms to which you have connected your own accounts (for example YouTube, X, Facebook, Instagram and TikTok). It also provides scheduling, reporting, backup and administration features.
The Service is a tool. We do not select, review, approve or endorse the stories, scripts, pictures, narration, videos or posts that you create or publish with it, and we are not a publisher of that content.
Eligibility and Accounts
- You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service.
- Access to the administration interface is protected by a password. You are responsible for keeping it, and any access tokens you store in the Service, confidential, and for all activity that occurs under them. Tell us promptly if you suspect unauthorized use.
- You must provide accurate information when connecting third-party accounts and must be authorized to post to every account you connect.
Third-Party Platforms
The Service interoperates with third-party platforms and application programming interfaces, including those of Google and YouTube, Meta (Facebook and Instagram), X Corp., TikTok, Anthropic and Microsoft. Your use of each platform is governed by that platform’s own terms and policies, which you agree to follow, including without limitation the YouTube Terms of Service, the Google Privacy Policy, the Meta Platform Terms, the X Developer Agreement and Policy, and the TikTok Terms of Service and Developer Terms. You are solely responsible for complying with them, including their rules on automated posting, disclosure of AI-generated or synthetic content, branded content and paid promotion, rate limits and content standards.
We are not affiliated with, endorsed by or sponsored by any of those platforms, and all trademarks belong to their respective owners. Platforms may change, restrict or discontinue their interfaces or suspend your accounts at any time; we are not responsible for any resulting interruption, loss of access, removal of content or other consequence.
AI-Generated Content
Scripts, pictures, narration and other output produced by the Service are generated or assisted by artificial-intelligence models. Such output is an interpretation of a story, not a news report. It may be inaccurate, incomplete, misleading, offensive or similar to content produced for others, and it may include depictions that resemble real people or places. You agree to:
- review every item before it is published, or accept full responsibility for it if you choose automated publishing;
- not present AI-generated output as authentic news footage, as a statement made by a real person, or as an official source;
- apply and keep the disclosures and platform “AI-generated” or “synthetic content” labels that the relevant platforms and applicable law require; and
- not use the Service to create deceptive depictions of real, identifiable individuals, deepfakes intended to mislead, or content that defames anyone.
Your Content and Licence
As between you and us, you retain whatever rights you have in the settings, prompts, source selections, uploaded media (such as intro or ending clips) and output you create with the Service (“Your Content”). You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce and transmit Your Content solely as needed to operate the Service for you, including sending it to the third-party services you direct us to use. You represent and warrant that you have all rights necessary to use Your Content with the Service and to publish it, and that doing so will not infringe or violate any law or any third party’s rights.
News, Sources and Third-Party Rights
The Service retrieves headlines, summaries, article text and images from feeds and websites you choose. That material belongs to its publishers and authors and may be protected by copyright and other laws. We do not grant you any right in it. You are solely responsible for deciding whether your use of any story, text or image, including any use of a publisher’s own picture, is permitted (for example under a licence, or under fair use or fair dealing where it applies), for giving proper attribution, and for honouring any publisher’s terms, robots rules or takedown request. We recommend that you use AI-generated pictures where you are unsure of your rights.
Acceptable Use
You will not, and will not permit anyone else to, use the Service to:
- violate any law or regulation, or any right of any person, including privacy, publicity, intellectual-property and consumer-protection rights;
- publish content that is unlawful, defamatory, hateful, harassing, threatening, sexually explicit, exploitative of minors, glorifies violence or tragedy, or promotes self-harm;
- spread disinformation, impersonate a person or organization, or mislead audiences about the nature or origin of content;
- send spam, artificially inflate engagement, or circumvent any platform’s limits, safeguards or review processes;
- attempt to gain unauthorized access to the Service, to other users’ data or to any connected account, or interfere with or disrupt the Service;
- reverse engineer, decompile or extract source code from the Service except as the law expressly permits, or remove any proprietary notice; or
- use the Service in a way that violates the terms of any platform or provider it connects to.
Privacy
Our Privacy Policy explains what information the Service handles, how it is used and shared, how long it is kept, and the choices and rights available to you. By using the Service you acknowledge that policy.
Intellectual Property
The Service, including its software, design, text, graphics, the name “NewsShorts Studio” and the associated logo, is owned by us or our licensors and is protected by copyright, trademark and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for your own lawful purposes. All rights not expressly granted are reserved. Third-party software included in the Service is licensed under its own terms.
Copyright Complaints
If you believe that material published through the Service infringes your copyright, send a notice to the contact address below containing: (a) your physical or electronic signature; (b) identification of the work claimed to be infringed; (c) identification of the material and where it can be found; (d) your contact details; (e) a statement that you have a good-faith belief that the use is not authorized by the owner, its agent or the law; and (f) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner. We may remove or disable access to material and terminate repeat infringers in appropriate circumstances. Because content is published to third-party platforms, you may also need to use those platforms’ own reporting tools.
Disclaimer of Warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability and uninterrupted or error-free operation. We do not warrant that AI-generated output will be accurate, lawful, original or suitable for publication, that any platform will accept or continue to display your content, or that the Service will meet your requirements. Some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.
Limitation of Liability
To the fullest extent permitted by law, we and our affiliates, licensors and contributors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, audience or account access, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages. Our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim and (b) one hundred U.S. dollars (US$100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including for fraud or for death or personal injury caused by negligence.
Indemnification
You agree to defend, indemnify and hold harmless us and our affiliates, licensors, contributors and their respective officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or related to Your Content, content you publish using the Service, your use of the Service, your breach of these Terms, or your violation of any law or third-party right or platform policy.
Suspension and Termination
You may stop using the Service at any time by disconnecting your accounts, revoking the Service’s access in each platform’s settings, and deleting your data as described in the Privacy Policy. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or the law, or if continuing to provide the Service becomes impractical. On termination your licence to use the Service ends. Sections that by their nature should survive termination, including Sections 6, 7, 10, 12, 13, 14, 16 and 17, will survive.
Governing Law and Disputes
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of [STATE / COUNTRY], without regard to its conflict-of-laws rules. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and negotiating in good faith for at least thirty (30) days. Subject to that, the state and federal courts located in [COUNTY / CITY, STATE / COUNTRY] have exclusive jurisdiction, and each party consents to their jurisdiction and venue, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual-property rights. If you are a consumer, you also keep any mandatory rights that the law of the place where you live gives you.
General Provisions
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any earlier understanding.
- Severability. If a provision is found unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect.
- No waiver. Our failure to enforce a right is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including platform or network outages.
- Notices. We may give notice by posting on the Service or by email to an address you have provided. Notices to us go to the contact address below.
- Export and sanctions. You will not use the Service in violation of applicable export-control or sanctions laws.
Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new “last updated” date and, where the change is material, make a reasonable effort to notify you. Your continued use of the Service after the effective date of an update means you accept the updated Terms. If you do not agree, stop using the Service.
